Virtual Assistants of the Carolinas, INC. DBA, Holly Receptionist (“Holly”),  hereby agrees to provide various telecommunication services and various administrative support services to (“Subscriber”) pursuant to the Terms and Conditions set forth herein and in the Service Agreement. Acceptance of these Terms and Conditions is implied once Subscriber has forwarded calls to the account number provided by Holly Receptionist.


Trial Period. Subject to these Terms, Holly Receptionist may provide to Customer a live receptionist answering service (“Trial Service”) during a trial period commencing on Customer’s registration with Holly Receptionist and expiring within a number of days specified by Holly Receptionist, which period may be extended or shortened by Holly Receptionist in its discretion (such period, “Trial Service Term”). Customer acknowledges and agrees that the scope and details of the Trial Service will be determined by Holly Receptionist in its discretion. The Trial Service is not applicable for prior Customers of Holly Receptionist, casual Customers or new Customers.


Trial Usage Charges. At no charge to Customer, Holly Receptionist will provide Customer with a credit to be applied to incremental charges that are incurred based on Customer’s usage of the Trial Service (“Trial Usage Credit”). Customer acknowledges and agrees that (a) the amount of the Trial Usage Credit will be determined by Holly Receptionist in its discretion and (b) the amount of such incremental charges will be determined, and may be changed, by Holly Receptionist in its discretion.


Termination of Trial Service. Holly Receptionist may terminate the Trial Service at any time for any reason or no reason. Without limiting the foregoing, Holly Receptionist may terminate the Trial Service upon expiration of the Trial Service Term, depletion of the Trial Usage Credit, or commencement of any Holly Receptionist Paid Services (as defined in Section 4 below). After the termination of the Trial Service, Customer will need to purchase Holly Receptionist Paid Services, as described in Section 4 below, in order to continue to receive services from Holly Receptionist. Any portion of the Trial Usage Credit not used prior to termination of the Trial Service will be forfeited and may not be used in connection with any Holly Receptionist Paid Services.



Adding Paid Services. Customer may at any time request to receive one or more of the paid services described on the Holly Receptionist Website or in these Terms (“Holly Receptionist Paid Services”). Customer will select a pricing plan for each Holly Receptionist Paid Service requested by Customer from the pricing plans offered by Holly Receptionist (“Pricing Plans”). Prior to providing any Holly Receptionist Paid Services, Holly Receptionist may require that Customer provide information about a credit card to which Customer authorizes Holly Receptionist to submit charges as permitted under these Terms (“Customer’s Credit Card”).


Paid Service Terms. Each Holly Receptionist Paid Service that Customer requests and Holly Receptionist agrees to provide (which agreement may be withheld by Holly Receptionist in its discretion) is referred to in these Terms as a “Selected Paid Service.” Subject to these Terms, Holly Receptionist will provide the Selected Paid Services for consecutive one (1) calendar month periods (each such period, a “Paid Service Term”) until terminated in accordance with these Terms.



Pricing. The charges for each Holly Receptionist Paid Service may include (a) subscription charges that do not vary based on Customer’s usage of the Holly Receptionist Paid Service (“Subscription Charges”) and/or (b) incremental charges that are incurred based on Customer’s usage of the Holly Receptionist Paid Service, e.g., without limitation, excess inbound call charges, messages sent via text, call transfer charges and after-hour charges (“Usage Charges”). The charges for the Holly Receptionist Paid Services are set forth in the price list on the Holly Receptionist Website (“Price List”) and restated along with any additional charges in Section____ both of which may be revised by Holly Receptionist from time to time as set forth in Section ___. All prices quoted exclude any applicable taxes.


Pricing and Charges

Virtual Receptionist Subscription Fees & Charges



All accounts automatically renew (on the 25th of the month) for the following months services unless written notice is received. Subscription plans may be changed on a quarterly basis (every 3 months)  for future services. We require a 72 hour notice to make changes to automatic payments. Retroactive plan changes are not allowed. Plan minutes/calls do not accrue or ‘roll-over’ from one month to the next.



30 Day notice is required for cancellation. Cancellation notices may be sent via email to and must be received at least 30 days in advance of the next billing date. If the renewal date is within the required 30 day notice, the subscriber is responsible for the following months services whether they choose to forward calls or not. No prepayments for services will be refunded. 



In addition to the recurring Monthly Charge, Variable Charges may be assessed if the Client’s monthly minute/call use exceeds the amount allowed in the plan. Once a client has exceeded the minute package purchased, overage minutes/calls will be charged once account has reached over 100 minutes or 50 calls of usage.



It is solely the responsibility of the client to ensure at all times a valid credit card/banking information is on file.  Client hereby authorizes Holly Receptionist to debit Client’s account to satisfy any and all amounts due. 


All payments are due upon receipt monthly. Monthly subscription payments are due on the 25th of the month for next months services and considered late if not paid. Any payments not resolved within 48 hours, service interruption will occur. Client will be considered in Material Default of this agreement and Holly shall have the right to immediately terminate service without waiving the right to collect any and all amounts due, including, but not limited to Late Fees that may accrue thereafter.

During the initial 30th calendar days following the Initiation Date, Client may for any reason cancel the Services and receive a full refund (minus set up fee). To receive such a refund, Client must notify Holly in writing on or before the 30th day (or before the 200th total minutes/100 calls of service) following the Initiation Date.


  • Per Minute Package: Holly will only bill for actual receptionist talk time in per second increments, we do not roll up/down minutes. 


  • Per Call Package: Is a flat rate per call. Each call that comes into our platform is considered a call regardless of the duration time. Unwanted Calls; Holly does not take any responsibility for any inbound calls, including, without limitation, any inbound calls from (a) telemarketers or promotional companies, (b) callers who misdialed, or (c) or callers who do not leave messages. These calls qualify as inbound calls and will result in usage charges. Unused monthly call allowance expires each month.



We commit to answering 90% of our calls within 3 rings or less. During peak times wait times may be longer, we utilize call queue as a backup to ensure the lowest wait times for your callers. Part-time clients who have high call volume (15+calls per hour) will need to give 24 hours notice before forwarding all calls for staffing and service level purposes.



All accounts include 1 Free change request per month. A change to the call handling, scheduling, or processing procedures and includes temporary or permanent changes. Offboarding an account user or routine questions are not charged. Additional account change requests are $10 each, and charged to account day of request. Account change requests are processed within 48-72 hours during our regular business hours. 


Holly and its employees agree that if they obtain any proprietary, confidential or trade secret information while answering calls for Subscriber it will be kept confidential. All information will not be disclosed, discussed or revealed to any other persons, entities or organizations other than a principal or administrator of the Subscriber. Holly will take all reasonable steps necessary to ensure that confidentiality is maintained by those individuals or entities to whom disclosure is deemed necessary or appropriate according to the terms of this Agreement. Holly will not disclose or use such confidential information, except as authorized by Subscriber or otherwise compelled by law.


Holly makes no representations or warranties, express or implied, of any kind to Subscriber or third party regarding Holly Receptionist services. Holly shall use reasonable efforts to provide the agreed upon services however, in no event, shall Holly Receptionist be liable to Subscriber, or any third party, for any claims for loss or damages as a result of any action or inaction by Holly Receptionist.

Subscriber agrees to release, indemnify and hold harmless Holly Receptionist and its employees, agents, contractors and suppliers against any and all losses, accidents, damages, injuries, expenses and claims resulting in whole or part, directly or indirectly, from any and all services provided. Subscriber understands that Holly Receptionist does not and cannot guarantee success or any particular result from the services provided. While Holly Receptionist shall use their best professional efforts, we do not make any warranty or guarantee, expressed or implied as to the successful completion of the services provided. 



Holly Receptionist will not be liable or obligated in any manner, nor shall it be considered a breach of its duties hereunder, should Holly Receptionist be unable, due to an equipment failure, acts of God or any other cause beyond the control of Holly Receptionist, to provide Subscriber the service described herein.

Any telephone number assigned to a Subscriber by Holly Receptionist shall remain the property of Holly Receptionist. Subscriber may request to purchase the phone number at a cost of $450. These Terms and Conditions and Holly Receptionist Service Agreement set forth the entire agreement between these two parties. This agreement shall be binding upon all successors and assigns of the parties hereto. We reserve the right to terminate or suspend your account if you or your callers are abusive, disrespectful, or otherwise inappropriate to our receptionists or service providers. We reserve the right to not respond to requests, or terminate your account, if: (i) we suspect that a request constitutes or otherwise relates to fraudulent or otherwise illegal activity; (ii) we suspect that the request relates to a sexual or otherwise potentially illicit encounter; or (iii) you harass, or otherwise make inappropriate comments or suggestions to our staff or personnel.



Subscriber acknowledges that the rate applicable to the service provided hereunder may be adjusted by Holly Receptionist upon 15 day written notice. Such adjustment shall take effect with otherwise affecting the terms of this agreement.

Terms of Service may be amended by Holly Receptionist by written notice delivered to Subscriber either electronically via email or via USPS. Changes to the Terms of Service shall take effect not before 15 days after delivery of such amended Terms of Service to Subscriber.


The laws and jurisdiction of the state of North Carolina shall govern any and all matters of dispute between Holly Receptionist and Subscriber. Any dispute arising from these Terms and Conditions shall be resolved in the state or federal courts located in Gaston County, North Carolina, and the parties irrevocably consent to the jurisdiction of such courts.
